Unit 5. individual project

Overview

Description

Assignment Details

In today’s fast-moving tech industry, companies often form strategic partnerships to stay ahead of innovation and expand into new markets. These partnerships can evolve into full acquisitions and consolidations, where ethical decision making becomes just as important as technical accounting knowledge. Accountants play a critical role not only in recording the numbers but also in protecting the integrity of financial reporting.

Case Study Scenario: Ethical Issues in a Strategic Partnership and Business Consolidation

Introduction

This scenario focuses on AltaVision Inc., a mid-sized, publicly traded company that develops smart surveillance systems. To stay competitive in the artificial intelligence space (AI), AltaVision invested in a promising AI start-up, TechNova Ltd. This relationship offered both companies growth opportunities as AltaVision gained access to cutting-edge AI technology, and TechNova received financial support and market reach.

The Business Relationship

Two years ago, AltaVision acquired a 30% ownership stake in TechNova and gained a seat on its board of directors, giving AltaVision significant influence over strategic decisions. Because of this influence, AltaVision used the equity method to account for its investment, recording its share of TechNova’s profits in its own financial statements.

As the partnership matured, both companies grew more integrated by collaborating on product development, sharing insights, and aligning long-term strategies. Encouraged by the success, AltaVision decided to move forward with a full acquisition, buying the remaining 70% of TechNova to consolidate the startup as a wholly owned subsidiary.

Ethical Concerns During Consolidation

During the due diligence and reporting phase of the acquisition, the accounting team uncovered several ethical red flags that raised concerns about the fairness, transparency, and integrity of the deal:

  • Use of confidential board information: AltaVision may have used private strategic insights from its position on TechNova’s board to fast-track its own research and development (R&D) and launch competing features, possibly breaching fiduciary duties and undermining the spirit of the partnership.
  • Undervaluing intangible assets: There are internal discussions about undervaluing TechNova’s proprietary AI algorithms during the purchase price allocation. The goal? To reduce the amount of goodwill recorded and present a more favorable financial position post-merger.
  • Lack of transparent disclosures: AltaVision executives are under pressure to minimize disclosures about the contributions of TechNova’s minority stakeholders in preacquisition periods. This could mislead investors into thinking AltaVision was solely responsible for the success of the merged entity.

Ethical Case Memo

As a senior accountant on the acquisition team, prepare a 3–5-page professional memo to AltaVision’s CFO. Your report should:

  • Analyze the use of insider knowledge during the partnership phase
  • Evaluate the ethical implications of undervaluing TechNova’s intangible assets
  • Recommend ethical solutions that align with proper valuation and disclosure practices
  • Justify your recommendations with reference to accounting standards and ethical codes (e.g., IFRS 3 / ASC 805 and IFRS 10 / ASC 810)
