PART THREE: SUBSCRIPTION AGREEMENT EXERCISE
Please prepare a Shareholder Subscription Agreement, (see the shareholder subscription agreement sample, you may use the sample to complete your assignment) including the following information:
1.The name of the corporation
2.The name of the investor.
3.The date of the investment.
4.The amount of the investment and percentage of ownership.
5.Please also include a clause in the "Restrictions on Transfer" Section stating that before any shareholder can transfer his or her interest in the corporation, such shareholder must offer the corporation a right of first refusal to repurchase such shares.
6.The Share Certificate Legend (as indicated on the Code of Regulations).
